1. Acceptance of Terms
Welcome to Terminal Control. By accessing or using our platform, website, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you (or the organization you represent) and Terminal Control ("Company," "we," "us," or "our"). By using the Service, you represent that you have the authority to bind yourself or your organization to these Terms.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
2. Description of Service
Terminal Control is a Software-as-a-Service (SaaS) platform designed for Starlink terminal resellers and Internet Service Providers (ISPs). Our Service provides:
- Terminal Management: Tools to track, organize, and manage Starlink terminals across your organization.
- Customer Management: Features to maintain customer records, contact information, and service assignments.
- Billing and Payment Tracking: Capabilities to record payments, track billing cycles, and manage accounts receivable.
- Automated Payment Reminders: Notification systems to send email, SMS, and other reminders to customers regarding payments.
- Analytics and Reporting: Dashboards and reports to analyze revenue, costs, and business performance.
- API Access: Programmatic access to integrate Terminal Control with your existing systems.
- Multi-tenant Organization Support: Workspace features for teams with role-based access control.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration and Security
To use Terminal Control, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized access or use of your account.
- Ensuring that all users within your organization comply with these Terms.
You must be at least 18 years old to create an account. If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or harmful activities.
4. User Responsibilities and Acceptable Use
You agree to use Terminal Control only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service for any illegal or unauthorized purpose.
- Violate any applicable laws, regulations, or third-party rights.
- Attempt to gain unauthorized access to our systems, other user accounts, or data.
- Interfere with or disrupt the Service or servers connected to the Service.
- Upload or transmit viruses, malware, or other harmful code.
- Use the Service to send spam, unsolicited messages, or harassing communications.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell or sublicense the Service without our prior written consent.
- Use automated systems (bots, scrapers) to access the Service in violation of our API terms.
You are solely responsible for all data you input into Terminal Control and for obtaining any necessary consents from your customers to store and process their information.
5. Billing, Payments, and Subscriptions
Subscription Plans: Terminal Control offers various subscription plans with different features and limits. Details of each plan are available on our Pricing page.
Payment Processing: We use Stripe, a third-party payment processor, to handle all payment transactions. By subscribing to a paid plan, you agree to Stripe's Terms of Service.
Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew unless you cancel before the end of the current billing period.
Price Changes: We reserve the right to change our prices at any time. Price changes will take effect at the start of your next billing period, and we will provide advance notice of any changes.
Refunds: Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion under certain circumstances.
Failed Payments: If a payment fails, we may suspend your access to paid features until payment is received. We will make reasonable efforts to notify you of payment failures.
Taxes: You are responsible for any applicable taxes associated with your subscription, except where we are legally required to collect and remit taxes.
6. Data and Privacy
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.
Your Data: You retain ownership of all data you input into Terminal Control ("Your Data"). You grant us a limited license to use, store, and process Your Data solely for the purpose of providing the Service.
Data Processing: By using Terminal Control, you may process personal data of your customers. You are responsible for ensuring compliance with applicable data protection laws (including GDPR, CCPA, and others) and for obtaining appropriate consents from your customers.
Data Security: We implement industry-standard security measures to protect Your Data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
Data Export: You may export Your Data at any time through our export features or API.
7. Intellectual Property
Our Property: Terminal Control, including its software, design, logos, trademarks, documentation, and all other materials (collectively, "Our Property"), is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Our Property without our prior written consent.
Your Content: You retain all rights to Your Data and any content you upload to Terminal Control. You grant us a non-exclusive, worldwide, royalty-free license to use Your Data solely for the purpose of providing and improving the Service.
Feedback: If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.
Third-Party Trademarks: "Starlink" is a trademark of SpaceX. Terminal Control is not affiliated with, endorsed by, or sponsored by SpaceX or Starlink.
8. Third-Party Services and Integrations
Terminal Control may integrate with or provide links to third-party services, including:
- Stripe: For payment processing.
- Email and SMS Providers: For automated notifications and reminders.
- Authentication Providers: For secure login options.
Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
9. Disclaimer of Warranties and Limitation of Liability
AS-IS BASIS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NO GUARANTEE: WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TERMINAL CONTROL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.
LIABILITY CAP: OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Terminal Control and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Your Data or content uploaded to the Service.
- Any disputes between you and your customers.
11. Termination
Termination by You: You may cancel your subscription and terminate your account at any time through your account settings. Cancellation will take effect at the end of your current billing period.
Termination by Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, non-payment, or suspected fraudulent activity.
Effect of Termination: Upon termination:
- Your right to access and use the Service will immediately cease.
- You may export Your Data within 30 days of termination, after which we may delete Your Data.
- All provisions of these Terms that should survive termination will remain in effect.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision shall be final and binding.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
13. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Terminal Control regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
